1. Description of Services
Useful Agency is a company registered in Germany that offers digital services to help individuals and businesses grow their visibility and attract qualified followers on Instagram (hereinafter referred to as “the Services”).
The Agency reserves the right to modify, at any time and without prior notice, the list of Services presented on the Website and/or in any Service Offers, as well as their associated terms and conditions. The applicable terms are those in effect at the time the Client’s order is confirmed by the Agency.
Scope of Application
These Terms and Conditions apply to all Services offered by Useful Agency and govern the contractual relationship between the Agency and its Clients (hereinafter referred to as “the Client”).
1.1 Service Focus
Useful Agency currently offers one main service: Instagram Growth through targeted audience interaction. This service supports clients in expanding their follower base on the Instagram platform.
The specific details of the Instagram Growth service—including pricing, structure, and available packages—are described on the Website and/or in the applicable Service Offer.
1.2 Waiver of Right of Withdrawal
By completing a payment for the Instagram Growth service offered by Useful Agency, the Client acknowledges that they have read, understood, and unconditionally accepted these Terms and Conditions as published on the Website.
In accordance with Article 16 of the EU Consumer Rights Directive (2011/83/EU), services that are fully customized and/or executed immediately with the Client’s explicit consent—such as the Instagram Growth services provided by Useful Agency—are not subject to the statutory right of withdrawal.
By confirming their order and payment, the Client explicitly requests that the service begin immediately and agrees to waive their right of withdrawal. This waiver is final and irrevocable upon payment confirmation.
The Client also acknowledges that this waiver does not exempt them from the obligation to pay the full amount due for the ordered service.
2. Ordering Terms
The Services offered by Useful Agency may be ordered by the Client as one-time purchases, either individually or in bundles, or as ongoing subscriptions, depending on the specific details stated on the Site and/or within the corresponding Service Offer.
2.1 One-Time Orders
The Client may place a one-time order for Services that are offered either:
individually, or
as bundled packages containing multiple Services.
In the case of bundled offers, the number and type of included Services are described on the Site and/or within the Service Offer. Each bundle constitutes a single, indivisible unit.
The Client also has the option to purchase Services from a bundle separately, at the individual prices listed in the “Catalog” section of the Site.
For each one-time order, the Client must specify the quantity of Services and/or bundles they wish to purchase. Orders may be placed either with or without a registered Client Account.
2.2 Subscription
Certain Services are available on a subscription basis, allowing the Client to receive recurring service delivery at a frequency defined on the Site and/or in the relevant Service Offer.
Subscriptions take effect from the date of approval by Useful Agency and are entered into for an indefinite period.
The Client may cancel their subscription at any time by sending an email to support@usefulagency.com.
Cancellation becomes effective 48 hours after receipt of the notice by Useful Agency.
Useful Agency may also terminate the Client’s subscription at any time, by notifying the Client via email at the address provided during account registration.
Such cancellation shall take effect 48 hours after the notification is sent.
Useful Agency reserves the right to suspend or terminate the contract in the event of non-payment or breach of these Terms by the Client.
All Services are ordered via the website usefulagency.com.
Prices are listed in euros (€).
Payments are made by credit card, and subscriptions renew automatically unless cancelled.
Free Trial
Useful Agency may offer a trial version of its Services, allowing prospective Clients to test key features before committing to a paid subscription.
The free trial is limited in functionality and duration (usually 7- 10 days).
It does not grant full access to the complete service.
The trial is intended for evaluation purposes only.
Any attempt to bypass the payment system to access the full version of the Service—such as through unauthorized access or the use of illegal software—is strictly prohibited and may lead to legal action.
2.3 Ordering and Subscription Process
Each one-time order or subscription is subject to a standard process that the Client must follow to complete the transaction. This includes:
Selecting the desired Services and specifying quantities
Providing complete contact and billing information, and delivery address if applicable
Reviewing the order or subscription summary and making corrections if needed
Entering valid payment details ("Payment Data")
Confirming acceptance of the Terms and submitting the order
The sale or subscription is considered final only after:
payment has been successfully processed (in the case of a one-time order), or
payment details have been verified (in the case of a subscription)
After confirmation, Useful Agency will send the Client a confirmation email containing all relevant details of the order or subscription.
2.3 Ordering and Subscription Process
Each one-time order or subscription is subject to a standard process that the Client must follow to complete the transaction. This includes:
Selecting the desired Services and specifying quantities
Providing complete contact and billing information, and delivery address if applicable
Reviewing the order or subscription summary and making corrections if needed
Entering valid payment details ("Payment Data")
Confirming acceptance of the Terms and submitting the order
The sale or subscription is considered final only after:
payment has been successfully processed (in the case of a one-time order), or
payment details have been verified (in the case of a subscription)
After confirmation, Useful Agency will send the Client a confirmation email containing all relevant details of the order or subscription.
3. Client Account Creation
The process of creating a client account (hereinafter referred to as the “Client Account”) allows the Client to securely store the necessary information to facilitate faster one-time purchases or subscription sign-ups via the Site, as well as to manage their orders and subscriptions.
To create a Client Account, the Client must provide the following information:
First name
Last name
Email address
A personal password of their choice
Phone number
Postal code
City
Country
Once the registration is completed, the Client receives a confirmation email at the address provided, confirming the creation of their Client Account.
The Client is assigned a login and password, which must be kept strictly confidential.
Any one-time order or subscription placed through the Site using the Client’s login and password shall be deemed to have been made by the Client or with their authorization, which the Client expressly acknowledges and accepts.
The Client Account gives access to a personal dashboard ("Member Area"), which displays, among other things, the Client’s personal data and a history of all Services purchased through the Site.
4. Prices
The prices for Services—whether purchased individually or as part of a bundle—are stated on the Site and/or in the corresponding Service Offer. All prices are listed in euros (€), inclusive of applicable German VAT, and exclusive of shipping costs, where relevant.
In the case of subscriptions, the price shown corresponds to the billing cycle stated on the Site and/or in the Service Offer.
Services may be offered under promotional pricing, with specific conditions described on the Site and/or in the applicable Offer. Such promotions are valid for the period stated, subject to availability.
For promotional offers, the reference price is the standard price normally charged outside of promotional periods, as listed in the "Catalog" section of the Site.
Shipping fees (if applicable) will be clearly displayed in the Client’s shopping cart ("Cart") prior to finalizing the order or subscription.
Services delivered or made available outside of Germany may be subject to local laws and regulations in the delivery territory and may incur customs duties, local taxes, import charges, or government fees.
Useful Agency reserves the right to change its prices at any time and without prior notice.
However, Services will be billed based on the rates in effect at the time the order is placed.
In the case of subscriptions, the price remains valid throughout the duration of the active subscription period agreed upon by the Client.
5. Payment
5.1 Payment Information
Payments are processed via a secure online payment system using SSL encryption and 3D Secure technology. This process requires the Client to provide their payment card number, expiration date, and CVV code (hereinafter “Payment Information”).
Any fraudulent use of the Client’s Payment Information is subject to the contractual terms agreed upon between the Client and their card-issuing bank.
5.2 One-Time Purchases
For one-time service purchases, the total price—including any applicable delivery charges—is payable in full at the time of order confirmation.
An invoice will be sent to the Client via email on the day the services are delivered or made available.
Some services may offer installment payment options, if expressly stated on the Site and/or in the applicable Service Offer.
In such cases, the Client remains liable for the full amount; this option does not constitute a right to cancel.
Failure to pay any installment will result in the immediate acceleration of the full remaining balance, which will become due at once.
5.3 Subscriptions
For subscriptions, the amount due will be automatically debited at the frequency stated on the Site and/or in the relevant Offer, using the Client’s stored Payment Information.
It is the Client’s responsibility to keep their Payment Information up to date.
If the payment method fails due to outdated or invalid Payment Information, Useful Agency reserves the right to suspend or terminate the subscription, and may refer the unpaid amount to a private debt collection company or initiate recovery via the Client’s bank.
The Client acknowledges and expressly agrees to this process.
By choosing a three- or six-month subscription commitment, the Client agrees to be charged the full amount within fifteen (15) days from the subscription start date.
6. Delivery – Service Provision
6.1 Provision of Digital Services
Digital services will be made available to the Client immediately upon receipt of payment by Useful Agency.

6.2 Delivery of Physical Materials (if applicable)
In the rare case that services include physical materials (e.g. printed reports or contracts), shipping will commence after payment confirmation, with a preparation time of 2 to 10 business days.
Once prepared, the items are delivered via the shipping provider chosen by the Client during checkout, from the list of available carriers displayed on the Site.
Estimated delivery times (usually 2 to 3 business days) are displayed at checkout, but these are non-binding. Useful Agency is not liable for delays caused by the carrier.
Shipments will be sent to the delivery address provided by the Client during checkout or subscription. The Client is solely responsible for the accuracy of this information.
Shipping costs are fully borne by the Client and clearly indicated at the time of order.
Useful Agency cannot be held responsible for delivery failures due to incomplete or incorrect address information. In such cases, reshipping costs will also be borne by the Client.
Delays in delivery shall not entitle the Client to any compensation or damages.
7. Right of Withdrawal
In accordance with applicable EU regulations, the right of withdrawal does not apply to the provision of digital content not supplied on a physical medium, once the execution has begun with the express prior consent of the Client, who has also acknowledged the loss of their right of withdrawal.
Accordingly, for digital services provided by Useful Agency, accessing or downloading the service constitutes explicit and irrevocable waiver by the Client of their right of withdrawal.
If the Client is entitled to a right of withdrawal (e.g., in the case of physical services or undownloaded digital files), they may exercise this right within fourteen14) calendar days from the date of receipt or availability of the service. No justification or penalties are required.
The right of withdrawal must be exercised within the stated period by:

If physical goods were delivered (e.g. printed materials), the Client must return them to Useful Agency within 14 days after notifying their decision to withdraw. The return shipping costs are to be borne by the Client. Returned goods must be in perfect condition and in their original packaging.
The right of withdrawal cannot be exercised for products that have been unsealed after delivery and cannot be returned for health or hygiene reasons.
As for digital services that have not yet been downloaded, the Client must notify Useful Agency within the withdrawal period and provide the following:
Full name
Order number
Details of the purchased service(s)
⚠️ The Client has no right of withdrawal once the digital service has been accessed or executed, due to the nature of the service.
No refunds will be issued, except in the case where Useful Agency is technically unable to activate the service on the Client’s Instagram account.
The fact that the Client did not achieve the expected results does not constitute valid grounds for a refund.
8. Product Compliance – Warranty
8.1 Service Compliance
The Client agrees to notify Useful Agency (via email at support@usefulagency.com) of any issues related to their order within 3 days of:
Receiving the service, in the case of physical (printed) delivery (e.g., missing items, damaged parcel, non-compliance);
Placing the order, in the case of digital services (e.g., download problems, corrupted files).
In the event of a non-compliant service, the Client may return the product, following the same procedure as outlined in the Right of Withdrawal section above. The Client may then request one of the following:
A replacement of the service that is compliant with the order, subject to availability;
An exchange for a similar service of equal value, subject to availability.
The legal warranty of conformity and the warranty against hidden defects do not apply due to the digital nature of the services provided.
8.2 Legal Warranty – Hidden Defects
Useful Agency complies with applicable German consumer protection laws, including provisions related to the legal warranty of conformity and protection against hidden defects (§§ 434 ff. BGB and §§ 437 ff. BGB).
Due to the digital nature of the services provided, statutory warranty claims may be limited in scope. The Client acknowledges that Useful Agency delivers digital services which are deemed fulfilled upon provision or activation. The Client is responsible for immediately checking the functionality of the service upon delivery and must notify Useful Agency of any issues without undue delay.
The statutory warranty period applies as defined by German law. However, no guarantee is given that the services will achieve specific results, as their effectiveness depends on multiple external factors beyond Useful Agency’s control.
8.3 Exclusion of Warranty
Useful Agency takes the utmost care in the content of the services it provides to Clients.
However, Useful Agency shall not be held responsible for any past or future actions taken on the Client’s Instagram account, nor for any issues that may arise with the Client’s account during or after the use of the service. The Client remains solely responsible for any consequences resulting from the use of the service. The Client is responsible for delivering the targets and therefore maintaining constant growth of the account.
Useful Agency emphasizes that the services reflect the personal views, experiences, and knowledge of their creators. These services do not constitute professional advice, legal guidance, or tailored consultation. Any application of the strategies, suggestions, or information shared in the services is carried out by the Client at their own discretion and under their sole responsibility.
Useful Agency shall not be liable for any direct or indirect damages resulting from the application or non-application of ideas presented in the services, which the Client expressly acknowledges and accepts.
The use of digital services may require that the Client has the necessary technical equipment, including functioning hardware, updated software, and a stable internet connection. Useful Agency cannot be held liable for any access issues resulting from the Client’s failure to meet these technical requirements.
Additionally, the Client is responsible for ensuring that their own manual activity on the platform remains within reasonable limits. Excessive self-initiated actions such as mass following, messaging, or liking may trigger platform restrictions. Useful Agency is not liable for any negative outcomes resulting from such activity.
8.4 No Guarantee of Results
Useful Agency makes no guarantee regarding the Client’s follower growth, engagement rates, visibility, or business outcomes. The effectiveness of the service depends on many external factors, including but not limited to the Client’s content, activity level, niche, demographic and audience behavior. The Client acknowledges and accepts that results may vary and are not guaranteed.
9. Intellectual Property
All services provided by Useful Agency are protected by copyright and intellectual property laws, particularly under applicable German law and international treaties. The intellectual property rights associated with the services are owned by their respective authors and/or Useful Agency.
The rights granted to the Client upon purchase of the services are strictly limited to personal use and do not permit reproduction, distribution, public display, or modification of any part of the services in any form or for any purpose without prior written consent from Useful Agency.
All content displayed on the Useful Agency website and/or within service offers—including but not limited to text, images, videos, logos, and layouts—is similarly protected. Any unauthorized use, copying, or adaptation of this content may result in legal action.
9.1 Marketing Use of Client Results
The Client agrees that Useful Agency may use publicly accessible results achieved through the services—such as follower growth, engagement metrics, reach statistics, or visible improvements to the Client’s Instagram profile—for marketing and promotional purposes.
This may include showcasing public performance data, anonymized statistics, screenshots, or named examples on Useful Agency’s website, social media, presentations, or other promotional materials. Useful Agency will never disclose private information (such as messages, payment data, or internal communications) without the Client’s explicit consent.
If the Client operates a public Instagram account, the Client grants Useful Agency a non-exclusive, royalty-free license to use the account’s public name, handle, and visible results solely for demonstrating the effectiveness of the service. The Client may opt out of this usage at any time by notifying Useful Agency in writing.
10. Privacy & Personal Data
As part of the service sales process—whether via one-time purchases or subscriptions—Useful Agency may collect personal data from the Client through the Website.
All details regarding how Useful Agency collects, processes, and stores personal data are described in our Privacy Policy, which forms an integral part of these Terms and Conditions.

10.2 Client Rights
Under applicable data protection laws, especially the EU General Data Protection Regulation (GDPR), the Client has the following rights:
Right of Access, Rectification, and Deletion
The Client may request access to personal data held by Useful Agency, request corrections, or request that the data be deleted. Requests can be made by emailing: support@usefulagency.comRight to Object

Useful Agency reserves the right to charge a reasonable administrative fee for handling manifestly unfounded, excessive, or repetitive requests related to data access or deletion.
10.3 Cookies
The Website may store small data files known as "Cookies" on the Client’s device, provided the Client has given consent where legally required.
Cookies are used to improve the browsing experience, remember login details, store layout preferences, and enhance user session management. We may also use third-party services like Google Analytics to track anonymized website usage patterns for statistical and functional optimization purposes.
The Client may disable cookies at any time via their browser settings, but this may affect the performance or usability of the Website.
11. Disputes
All purchases of digital services via the Website, whether made as one-time orders or subscriptions, are governed by the laws of the Federal Republic of Germany.
Before initiating any legal proceedings, both parties agree to make a good-faith effort to resolve any disputes amicably. Any complaints should first be submitted in writing to: support@usefulagency.com.
The Client is also informed that they may submit a complaint through the European Online Dispute Resolution (ODR) platform, accessible at: https://ec.europa.eu/consumers/odr/.
If no amicable resolution can be reached, the dispute shall fall under the exclusive jurisdiction of the competent courts of Paderborn, Germany.
12. Limitation of Liability
Useful Agency shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, business interruption, or reputational harm, arising out of the use or inability to use the services.
Useful Agency shall not be held responsible for account suspensions, limitations, or other actions taken by Instagram or any third-party platform, which may result from the Client’s usage of the services.
Useful Agency’s liability shall in all cases be limited to the total amount paid by the Client for the current or most recent monthly bill.
13. Client Obligations
The Client agrees to provide accurate and complete information when placing an order, including Instagram account credentials if required, and to keep this information up to date. The Client is responsible for complying with Instagram’s terms of service and platform rules.
Useful Agency shall not be liable for any consequences arising from the Client’s misuse of the platform, delayed responses, restricted accounts, or technical issues outside of Useful Agency’s control.
The Client is also responsible for cooperating with Useful Agency in good faith, including timely communication, provision of any requested materials, and responding to troubleshooting requests if necessary.
14. Client Responsibility & Platform Risk
Useful Agency operates all actions from real devices and adheres to the highest available security standards. The Agency fulfills a high volume of actions as contractually included in the service.
The Client agrees not to engage in excessive manual actions—such as mass liking, following, messaging, or interacting on their own account—while the service is active. Overuse of engagement features may trigger Instagram’s spam or abuse detection systems and can result in account restrictions.
Useful Agency has no control over actions taken by Instagram, including account limitations, suspensions, or bans. The Client acknowledges this risk and accepts full responsibility for any consequences arising from their use of the platform.
15. Force Majeure
Useful Agency shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, war, government restrictions, or labor strikes.
16. Modification of Terms
Useful Agency reserves the right to modify these Terms and Conditions at any time. Clients will be informed of any significant changes through reasonable means, which may include a notice on the Website or direct communication. Continued use of the services after such modifications constitutes acceptance of the updated Terms.
17. No Refunds in Case of Platform Restrictions
No refunds will be granted in cases where Instagram restricts, suspends, or disables the Client’s account, regardless of the reason. The Client understands and agrees that Useful Agency has no control over Instagram’s platform enforcement mechanisms.
18. Cancellation & Renewal Policy
Monthly subscriptions renew automatically unless canceled before the next billing cycle. The Client may request cancellation at any time via our support chat. Refunds for unused days within a billing cycle are not provided.
19. Suspension for Non-Payment
In case of late or failed payment, Useful Agency reserves the right to suspend all active services until full payment is received. The Client remains liable for the outstanding balance during suspension periods.
20. Severability Clause
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
21. Governing Law & Jurisdiction
These Terms and Conditions are governed by the laws of Germany. The competent courts of Paderborn, Germany shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms. The contractual languages are German and English. In case of discrepancies or interpretation conflicts, the German version shall prevail.
